How long does registration in the Czech Commercial Register take?

Setting up a company is a big step that comes with many different formalities and administrative tasks. Some are dealt with more or less straight away, while others take a little longer. So how long does registration in the Commercial Register (obchodní rejstřík) take?

What is the Commercial Register

It is a register in which legal entities are recorded, so it is mainly known as the register of companies. It contains information about each legal entity, such as its registered office, its business activities and its partners.

Why the commercial register in the Czech Republic matters to you

A commercial register is an official record of basic facts about companies. Its main purpose is to help you check who you are dealing with. Before you sign a contract with a Czech company, look at its entry to confirm who represents it and where it is based.

If you run a company yourself, business partners and clients will rely on your entry. Keeping it accurate and up to date helps protect your credibility and avoids confusion when you sign contracts.

How long does registration in the Commercial Register take

The basic requirement for quick and trouble-free registration is properly completed documents with all the required details. In that case, registration in the Commercial Register takes roughly 5 working days from submitting the application. After successful registration, you will receive a notification and the Commercial Register will assign the newly established company an identification number (IČ).

If you are not sure you can fill in all the documents correctly, you can hire specialists who help with registration in the Commercial Register and with other steps involved in setting up a company.

Registration in the Commercial Register may involve fees in some cases. This depends on the legal form of the company and whether it is a first registration or only a change to some details. For example, the fee for changing details is 2,000 CZK (about 92 USD) regardless of the number of changes requested. Registrations may also involve notary fees.

Common mistakes that delay registration

Most delays come from small errors in the paperwork. Watch out for these:

  • Details that do not match across documents, such as a name or address spelled differently.
  • Signatures that are not certified where certification is required.
  • Missing proof of the registered office or of the paid capital contribution.
  • Filing close to the deadline, which leaves you no time to fix errors.

Each of these mistakes can get your application returned or delayed, and you lose time while you correct it. Check every document against the others before you file.

What do you need to submit for registration in the Commercial Register?

In addition to the registration form itself, you need to submit other documents so that everything can be approved. Most of these documents also need to be certified. Specifically, these are:

  • articles of association (deed of incorporation)
  • extract from the Trade Register (živnostenský rejstřík)
  • proof that the capital contribution has been paid
  • proof of the new company’s registered office
  • statutory declarations by the company’s directors
  • documents on members of the supervisory board (if one is set up)
  • partners’ consent to registration in the Commercial Register

Given the large number of documents required and the need to provide all details accurately, applying for registration in the Commercial Register can be complicated. If you are unsure and do not want to delay the whole process with your own mistakes, you can turn to a lawyer for advice on the whole matter. There are also services where you leave the entire registration to a specialist. Thanks to their experience in the field, this can save you time and worry.

For registration in the Commercial Register, as well as in other public registers, you can use a notary. In that case, the whole procedure can be simpler, because the notary will point out anything that is missing. Such notarial registration in the Commercial Register can be faster and in some cases also cheaper. However, you need to choose a notary who has the necessary resources and meets the requirements for registrations in the Commercial Register.

Who needs to register in the Commercial Register?

Most often, it is a situation where one or more people want to set up a business company. Apart from that, registration in the Commercial Register is also mandatory for the following entities:

  • housing and building cooperatives
  • individuals with revenue above 120 million CZK (about 5.5 million USD) (below this threshold, registration is voluntary)

Founding and formation of a company

Although these terms may seem the same, they are two different situations. A company is founded at the moment the articles of association are drawn up in the form of a deed of incorporation. This must be certified by a notary. Before that, however, you need to work out how to come up with a company name.

Only after the deed of incorporation has been drawn up and certified does the application for registration in the Commercial Register follow. Once it is approved, the company comes into existence. The application for registration must be filed within 90 days of founding the company. Of course, the sooner you file the application, the sooner the period for the registration itself starts.

How do you remove company details from the Commercial Register?

The opposite of registering a company is deleting it or removing details that are no longer up to date. This happens when there is a change of registered office, a member of the statutory body leaves or joins, and so on. Each such fact must be supported by the relevant documents. Paper documents must be officially certified. For electronic filing, you need a valid electronic signature or must send it via a data box (datová schránka).

If a company is liquidated, the final step is its deletion from the Commercial Register. This only happens once all of the company’s previous obligations have been settled. Filing an application to delete a company from the Commercial Register is free of charge. Once the company is deleted from the register, it ceases to exist.
